PROT is developing pre clinical-stage therapeutic agents and treatments for diabetes, heart, and lung diseases. PROT’s discoveries involve non embryonic stem cell treatments.

National Stem Cell, Inc. is PROT’s operating subsidiary. The Sperm Bank of New York, Inc. is a fully operational tissue bank.

PROT recently executed a joint venture agreement with a group of investors that will create a new stem cell treatment and research facility in the United Arab Emirates (U.A.E.).

The Investor Group has committed to invest $5 million on or before September 10, 2010. The Joint Venture company, XGen Medical LLC (”XGen”), a Nevis Island limited liability company, will be owned 51% by PROT and 49% by the Investor Group.

Additionally, as part of the agreement PROT will license to XGen (the joint venture), both a use and treatment license in the UAE, as well as a license to manufacture the cellular material. The agreement also anticipates the formation of treatment facilities in other locations to be jointly agreed upon between PROT and the Investor Group. Each new facility would require the Investor Group to contribute a minimum investment of $5 million.

The agreement calls for PROT, through its wholly owned subsidiary, StromaCel, Inc., to receive $ 7,500 per treated patient.

Additionally, the agreement calls for XGen, the joint venture, to market and distribute Proteoderm, including the Matrix NC-138 anti-aging products.

XGen will maintain exclusive distribution rights in the U.A.E., provided the Joint Venture purchases a minimum order of 5,000 units the first year, and increases purchases at a rate of 20% per annum until reaching 10,000 units per year.

PROT plans on utilizing X Gen Medical to serve as a platform for joint ventures with medical facilities worldwide. XGen Medical has been established with the intention of conducting business in the global medical marketplace.

It is anticipated that new relationships formed with X Gen Medical will create medical facilities capable of not just attracting treatments locally, but also acting as hubs for medical tourism.

Medical tourism is constantly on the rise and anticipated to continue to grow substantially due to current high costs of health care for certain procedures and improvements in both technology and standards of care in many countries.

** PROT is scheduling a multi-city European road trip to create additional awareness of the company’s investment opportunity to institutional investors.

According to PROT’s Chairman and CEO, the company has been in negotiations with several groups, specifically in the Middle East and Europe, to establish Proteonomix Regenerative Translational Medicine Institute (”PRTMI”) medical facilities in those regions.
